1. Who this agreement is between
This Contributor Agreement ("Agreement") is between you, the person uploading media ("Contributor", "you"), and the operator of the platform ("Platform", "we"). It applies to every photo and video clip you upload, now and in the future, for as long as you hold a contributor account.
2. Your rights declaration
By uploading any file you declare that:
- you are the sole author of the media, or you hold a written licence from the author that permits commercial sub-licensing;
- no third party (a yacht owner, charter guest, employer, crew member or agency) holds rights that would prevent the media being licensed commercially;
- the media has not been licensed exclusively to anyone else and is not subject to any embargo, confidentiality agreement or crew contract restriction;
- any brand, vessel name or location tag you add is accurate.
3. Lawful capture
You confirm that every file was captured lawfully: from a public place, from a vessel you had permission to film on, or with the express permission of the owner or operator. Drone footage must have been flown in compliance with local aviation rules. You must tick the lawful-capture confirmation on every upload; it is recorded against the asset.
4. Identifiable people and model releases
If a file contains an identifiable person you must upload a signed model release for each such person before the asset can go live. Assets flagged as containing people without a release are held and cannot be published. You are responsible for the accuracy of that flag.
5. Licence you grant to the Platform
You grant the Platform a worldwide, non-exclusive, royalty-bearing licence to host, transcode, watermark, display, market and sub-license your media to buyers under the Platform's Standard, Extended and Exclusive licence types. You keep ownership of your work. RAW originals are stored privately and released to a buyer only on purchase.
6. Revenue split
Every sale is split between you and the Platform. The default split is 50% to you and 50% to the Platform of the net sale price for each licensed item. The Platform may agree an individual split with you in writing; that split is recorded on your account and applies from the date it is set. Bundle discounts reduce the price the buyer pays and the split is calculated on that paid amount.
7. Payout schedule and 60-day hold
Earnings from a sale become payable 60 days after the date of sale. Payable balances are paid monthly, at the end of each month, to the Wise Business recipient details on your account. You are responsible for any tax on payments you receive.
8. Claims reserve
10% of every earning is held as a permanent claims reserve against your account. The reserve covers refunds, credits or costs arising from claims about your content. It is released only when your account is permanently closed with no outstanding claims.
9. Platform's right to remove, pause or reject content
The Platform reviews every upload and may reject it with a reason. The Platform may pause or remove any live asset at any time, including for legal, quality or brand-safety reasons, and will notify you by email. Removal does not affect licences already sold to buyers.
10. Locked assets
Once an asset has been purchased it is locked: its media and metadata cannot be changed. Improved versions must be uploaded as new assets.
11. Indemnification
You are legally responsible for any claim arising from your content, including claims of copyright infringement, breach of privacy or personality rights, breach of contract with a vessel owner or employer, and unlawful capture. You agree to indemnify and hold harmless the Platform, its officers and its buyers against all losses, costs and legal fees arising from such claims. The Platform may apply your reserve and unpaid earnings against such costs.
12. Term, closure and changes
This Agreement lasts while your account is open. You may close your account at any time; assets already licensed remain licensed. The Platform may update this Agreement with a new version number; continued uploading after notice means you accept the new version.
